1.Terms of Reference
For the purpose of this Agreement, The term “Exhibitor” shall mean any company, its employees and agents to whom exhibition space has been allocated. The term “organizer” shall mean Shenzhen Yawei information Exhibition lanning Co., Ltd.
2.Application for Participation
We acknowledge that the contract is accepted by the exhibiting side so long as the contract is submitted, unless the organizer receive the contracts of exhibiting rooms and the contracts are stamped or signed by the both sides or the three sides the contracts will be invalid. The Organizer shall reserve the right to refuse any application without giving any reasons. If the exhibiting applications are not accepted, we will refund the deposit to provided account.
3.Allocation and Use of Exhibition Space
a.Allocation of space is made by the Organizer. While attention will be paid to Exhibitor’s preference, the final decision on space allocation shall be made by the Organizer.
b.The Organizer also reserves the right to change the space allocated when it deems necessary in the general interest of the Exhibition.
c.The Exhibitor shall not sublet the space allocated or use any space at the Exhibition Hall other than that allocated without the prior written consent of the Organizer.
d.No Exhibitor shall be permitted to exhibit unless he has paid all fees prior to the exhibition.
4.Cancellation
a. In the event Exhibitor cancels all or part of the contracted booth space, exhibitor shall apply the cancellation in time and after approve by organizer, all Managing/Cancellation fees that may become due hereunder are acknowledged by Exhibitor to be liquidated. ①Written cancellation of booth space received at organizer on or before Aug.20,2006, 50% of booth payments will be made.② Written cancellation of booth space received at organizer on or after Aug.20,2006, full booth payments will be made.
b.If Exhibitor does not make payments on time of the contracted, the exhibit space will not be reserved. Organizers have the right to claim payments of all amounts which would have been due to Organizer under the terms of subsection. All other provisions of this contract will continue in force until terminated by Organizer.
5.Transport of Exhibits
a.Exhibitor shall bear the responsibility and expenses for the transport of exhibits to the Exhibition Venue.
b.Exhibitor shall make his own arrangement for storage and warehousing for their exhibits and packaging materials before, during and after the exhibition.
c.Exhibitor shall remove his exhibits and decorative items from the Exhibition Venue within the period stipulated by the Organizer and shall indemnify the Organizer for any loss by reason of delay or damage to the Exhibition Venue.
d.Exhibitors shall abide by the Customs formalities for his exhibits and materials brought to China before and after the Exhibition through the official freight forwarder appointed by the Organizer.
6.Change of Dates and Venue
The Organizer reserves the right to change the date and venue of the Exhibition should circumstances so require. The Agreement shall remain effective for the new date and venue provided the notice of change is made to the Exhibitor one month before the changes.
7.Failure of Services
In the event that the Hosts/Organizer judge that the venue, the Exhibition or the preparation work therefore, shall be so seriously damaged, impeded, interrupted or interfered with by any event or circumstances beyond the control of the Hosts/Organizer, including (In so far as beyond such control but without prejudice to the generality of the foregoing expression) war, strikes, lockouts, civil commotion, riots, hostilities, martial law, fire, flood, storm, drought, volcano eruptions, explosions, nuclear or chemical accidents or fall-out, perils of the seas, accidents of any other nature, interference, interruption or delay in traveling, transportation, communication, accommodation or any other facilities necessary for carrying out the Exhibition or preparation therefore, it may cancel or suspend the Exhibition without any liability to any party. The fees paid to the Organizer under this Contract may be refunded in part or in total to the Exhibitor at the sole discretion of the Organizer.
8.Security
a.While the Organizer shall take up the necessary security precaution in the interest of the Exhibition as a whole, the Organizer shall not be liable for any loss or damage to exhibits or other properties of the Exhibitor or any injury to persons, whether it be before, during and after the Exhibition.
b.Exhibitor warrants that nothing which he, his servants or agents shall do in or for the Exhibition shall contravene any law or regulations, encroach upon third parties rights, or pose any exceptional danger or risk which has not been previously disclosed to the Organizer with sufficient precautionary measures taken.
9.Fire Prevention and other Regulations
All Exhibits, materials and fittings used or displayed in the stand must be properly fire-proofed and be in accordance with all applicable fire prevention and building regulations. Exhibitors’ display shall not obstruct the view of other Exhibitors nor be in any manner objectionable to the Organizer, the general interest of the Exhibition and other Exhibitors or cause any annoyance or nuisance to other Exhibitors. The Organizer reserves the right to issue such directions as it may deem necessary to the Exhibitor on remedying a breach of this term. The Exhibitor shall comply with such directions forthwith.
10.Insurance, Liability and Risks
The Exhibitor shall insure, indemnify and hold the Organizer and the venue managers harmless in respect of all costs, claims, demands and expenses for incidents incurred by the staff or agent of the Exhibitor upon any person or things at the exhibition venue.
11.Venue and Venue Property
The Exhibitor shall take all necessary precautions to prevent any harm done to the venue and venue property. The Exhibitor is liable to compensate the Organizer for any damage done to the venue or venue property.
12.Refusal of Admission
The Organizer shall reserve the right to refuse any person admission to the Exhibition Venue on the request of the Chinese authorities or in the general interest of the Exhibition.
13.Entry Visa Formalities
The Organizer will provide assistance in visa formalities for foreign Exhibitors. Exhibitors are responsible for paying their own visa application fee. The fact that the Exhibitor is unsuccessful in obtaining visa will not constitute a basis for cancellation of this Agreement.
14.Chinese Manpower
All PRC nationals engaged as helpers in the exhibition ground or booth must be arranged or approved by the Chinese authorities.
15.Venue Regulations
Exhibitors shall abide by the Rules and Regulations of the Exhibition Hall. Failure to comply with the Rules and Regulations will constitute grounds for breach of the Agreement. A Copy of the Rules and Regulations may be obtained from the Organizer.
16.Supplementary Clauses
The Organizer shall reserve the right to issue Supplementary Regulations in addition to those in the TERMS OF AGREEMENT to ensure the orderly management of the Exhibition. Any supplementary Regulations shall form parts of the TERMS OF AGREEMENT and they shall be binding on all Exhibitors.
17.Breach of Agreement
In case the Exhibitor fails to observe and perform any of the terms of this Agreement or any Supplementary Regulations stipulated in Clause 16 above, the Organizer shall reserve the right to terminate the Agreement and all rental and fees paid by the Exhibitor to the Organizer will be forfeited. Exhibitor shall furthermore indemnify the Organizer for all losses and damages resulting from such failure in observing or performing the terms of this Agreement.
18.Intellectual Property
Exhibitors should observe and comply to Intellectual Property Laws and Copyright Ordinance of PR China. Organizers bears no responsibility if the exhibitor against the said laws and ordinance.
19.Interpretation
Interpretation of this Contract lies solely with the Organizer. This Contract shall be governed by and construed according to Chinese law.
